Process for Determining CEO Compensation
I. PURPOSE – The CEO of Native American Heritage Association (NAHA) is also an employee of said Organization. In order to avoid potential real or perceived conflicts, NAHA is implementing a compensation policy. Compensation decisions will be based on third-party information under the following guidelines:
II. PERIODIC REVIEWS – CEO compensation will be reviewed annually, in accordance with NAHA’s regular employment policies.
III. PROCEDURE – Compensation of the CEO will be determined by the average compensation of similar non-profit positions, as published annually by Charity Navigator. Salary will be calculated as follows:
a. NAHA will select the employment position on Charity Navigator’s website that most closely matches the job description of the employee.
b. NAHA will add the median compensation for said position based on Geography, Region/Size, Mission, Size (specific), and Seize (Aggregate), then divide said sum by 5, to determine the average across all categories of determination.
c. NAHA will insure that the compensation of the CEO falls within 75% to 125% of that average, with the determination within that range being driven by length of service and job performance.
IV. BOARD OF DIRECTORS – The presence of an independent governing body is critical to the success of a charity.
a. NAHA currently has three (3) independent voting Board members.
i. Henry Keyser, III
ii. Stella Brown Eyes
iii. Paula Nowak
b. The CEO will serve as Chairman of the Board
i. The CEO will not be a voting member
ii. The CEO will not receive any additional compensation for being a member of the Board
c. No voting member of the Board of Directors for Native American Heritage Association shall receive compensation.
